1. Definitions
In these Terms and Conditions:
- “Company” means ECO PACK WHOLESALE LTD, its employees, agents, and authorised representatives.
- “Customer” means any business, retailer, or organisation purchasing goods from the Company for resale or commercial use.
- “Goods” means all packaging products, Pinar Mineral Water, and any other items supplied by the Company.
- “Order” means a purchase request submitted by the Customer to the Company.
2. Eligibility and Account Registration
- Wholesale accounts are available only to registered businesses or organisations operating in the United Kingdom.
- Customers must provide valid business details, including a company registration number or VAT number (if applicable).
- ECO PACK WHOLESALE LTD reserves the right to approve, deny, or suspend wholesale accounts at its discretion.
- It is the Customer’s responsibility to ensure that account information remains accurate and up to date.
3. Orders and Acceptance
- All Orders are subject to written or electronic confirmation by the Company.
- The Company reserves the right to refuse or cancel any Order prior to dispatch for any reason, including stock unavailability or non-payment.
- Minimum order quantities or values may apply.
- Once confirmed, Orders cannot be cancelled or amended without the Company’s written consent.
4. Pricing and Payment Terms
- All prices are quoted in Pounds Sterling (GBP) and are exclusive of VAT, unless otherwise stated.
- VAT will be applied at the prevailing rate at the time of invoicing.
- Prices are subject to change without notice.
- Payment terms are pro forma (payment in advance) unless a credit account has been approved in writing.
- For approved credit accounts, payment must be made within 30 days of the invoice date, unless otherwise agreed.
- The Company reserves the right to charge interest on overdue accounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Shipping, Delivery, and Risk
- Deliveries are available throughout the UK and arranged via the Company’s designated couriers or freight partners.
- Delivery charges will be confirmed at the time of Order.
- Delivery times are estimates only and are not guaranteed.
- Risk in the Goods passes to the Customer upon delivery or collection.
- Title to the Goods shall not pass to the Customer until full payment has been received by the Company.
6. Returns, Shortages, and Damages
- Claims for damaged, missing, or defective Goods must be reported in writing within 24 hours of receipt.
- Returns are accepted only with prior written authorisation from the Company.
- Goods must be returned in their original packaging, unused, and in a resaleable condition.
- The Company reserves the right to inspect returned Goods before issuing replacements or credits.
- Unauthorised returns will not be accepted or credited.
7. Product Availability and Substitution
- All Goods are offered subject to availability.
- The Company reserves the right to substitute equivalent items or adjust quantities in cases of stock shortages, provided the Customer is notified in advance.
8. Product Use and Storage
- The Customer is responsible for ensuring that Goods are stored, handled, and used in accordance with manufacturer or supplier recommendations.
- The Company is not liable for damage or defects caused by improper storage, misuse, or modification of the Goods.
9. Intellectual Property
- All trademarks, brand names, product designs, and images used by ECO PACK WHOLESALE LTD remain the property of the Company or its licensors.
- The Customer may not reproduce, modify, or distribute the Company’s intellectual property without prior written consent.
10. Limitation of Liability
- The Company’s liability in respect of any claim shall not exceed the purchase price of the Goods in question.
- The Company shall not be liable for any consequential, indirect, or economic loss (including loss of profits, contracts, or goodwill).
- Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence or for any other liability that cannot be excluded under UK law.
11. Force Majeure
- The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, transport disruptions, strikes, or material shortages.
12. Governing Law and Jurisdiction
- These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
- Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.
13. Amendments
- ECO PACK WHOLESALE LTD reserves the right to amend these Terms and Conditions at any time without prior notice.
- The most current version will be available on the Company’s website or upon request.
- Continued trading with the Company constitutes acceptance of any updated Terms.
14. Acceptance of Terms
By placing an Order or maintaining a wholesale account with ECO PACK WHOLESALE LTD, the Customer acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
